Terms of Service

Welcome to ClipFactory. These Terms of Service ("Terms") govern your access to and use of the ClipFactory web application (the "Service") operated by ClipFactory ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 16 years old and agree to comply with these Terms and all applicable laws. If you do not agree, you may not use the Service.

2. Description of the Service

ClipFactory is an AI-powered platform that helps users transform long-form videos into short, viral-ready clips. The Service includes video uploading, AI-driven transcription, clip detection, clip extraction, and downloading. The Service is available through the following plans:

2.1 Free Plan

  • Limited number of videos and clips per month.
  • Maximum video file size restrictions apply.
  • Displays third-party advertisements (including Google AdSense) to support the free tier. By using the Free Plan, you acknowledge and consent to the display of advertisements, which may use cookies and tracking technologies for ad personalization.
  • Advertisements may be personalized based on your browsing behavior, subject to your cookie consent preferences.

2.2 Pro Plan

  • Increased or unlimited video and clip quotas.
  • Higher file size limits.
  • Priority AI processing.
  • Ad-free experience.
  • Additional premium features as described on the pricing page.

3. Account Registration

  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content

4.1 Ownership

You retain all intellectual property rights to the videos you upload and the clips generated from them. We do not claim ownership of your content.

4.2 License Grant

By uploading content to the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, store, and transmit your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or your account.

4.3 Content Restrictions

You agree not to upload or process content that:

  • Infringes any third-party intellectual property rights.
  • Contains illegal, harmful, threatening, abusive, or defamatory material.
  • Contains sexually explicit material involving minors.
  • Promotes violence, hate speech, or discrimination.
  • Contains malware, viruses, or other malicious code.
  • Violates any applicable law or regulation.

We reserve the right to remove content and suspend accounts that violate these restrictions without prior notice.

5. Third-Party Advertising

The Free Plan includes advertisements provided by third-party ad networks, including Google AdSense. By using the Free Plan, you acknowledge that:

  • Third-party ad networks may use cookies, web beacons, and similar technologies to collect information about your browsing behavior for the purpose of serving personalized advertisements.
  • We are not responsible for the content of third-party advertisements or the privacy practices of third-party advertisers.
  • You may manage your ad personalization preferences through our Cookie Policy settings or by visiting Google Ads Settings.
  • You may upgrade to the Pro Plan at any time to remove all advertisements.
  • Ad blockers may interfere with the proper functioning of the Service on the Free Plan.

6. Subscriptions & Payments

  • Paid subscriptions are billed on a recurring basis (monthly or annually) as selected at checkout.
  • All payments are processed securely through Stripe.
  • Subscription fees are non-refundable except as required by applicable law or as stated in our refund policy.
  • We may change subscription pricing with 30 days' notice. Existing subscribers will be notified before the next billing cycle.
  • You may cancel your subscription at any time. Access to paid features continues until the end of the current billing period.

7. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to reverse engineer, decompile, or disassemble the Service.
  • Use automated scripts or bots to access the Service without permission.
  • Circumvent or interfere with ad display mechanisms on the Free Plan.
  • Overload or impair the Service infrastructure.
  • Resell, sublicense, or redistribute access to the Service.
  • Impersonate any person or entity.

8. Intellectual Property

The Service, including its design, code, features, logos, and branding, is owned by ClipFactory and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

AI-generated clips and transcriptions may contain errors. We do not guarantee the accuracy, quality, or virality of generated content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPFACTORY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless ClipFactory, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising out of your use of the Service, your content, or your violation of these Terms.

12. Termination

  • We may suspend or terminate your access to the Service at any time for violation of these Terms.
  • You may delete your account at any time through the account settings.
  • Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which ClipFactory is incorporated, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration, except where prohibited by law.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Service or by email. Continued use of the Service after changes become effective constitutes acceptance.
